Update Manager has nothing to do with SAN unless you are booting your ESXi from SAN.
if that's not the case, the prompt means that it will upgrade your ESXi version from 4.1 to 5.1.Further it means once the update manager is installed. it will download 5.1 patches from depot url and upgrade your ESXi hosts.
There is nothing to worry here.
